THESE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF DEWEY'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you in their entirety. In such cases, liability shall be limited to the maximum extent permitted by applicable law.


9. Indemnification

You agree to defend, indemnify, and hold harmless Dewey's Pizza, its parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

15. Dispute Resolution and Arbitration

15.1 Mandatory Arbitration

Except as set forth below, you and Dewey's Pizza agree that all disputes, controversies, or claims arising out of or relating to these Terms, your use of the Site, or any products or services provided by Dewey's Pizza shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in a court of law. The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.2 Class Action Waiver

YOU AND DEWEY'S PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

15.3 Exceptions to Arbitration

Notwithstanding the foregoing, the following disputes are not subject to mandatory arbitration:

  • Claims seeking to enforce or protect, or concerning the validity of, any intellectual property rights;
  • Claims related to or arising from allegations of theft, piracy, invasion of privacy, or unauthorized use;
  • Claims for injunctive or other equitable relief;
  • Any claim that qualifies for small claims court in a jurisdiction where you reside.

15.4 Informal Resolution

Before initiating formal arbitration, we encourage you to first contact us at [email protected] to attempt to resolve any dispute informally. We will make good faith efforts to resolve the matter within thirty (30) days of receiving your written notice describing the nature of the dispute and the relief sought.


16. Severability

If any provision of these Terms of Service is held to be invalid, illegal, void, or unenforceable by a court of competent jurisdiction or by an arbitrator with proper authority, including but not limited to any provision found to be contrary to applicable federal, state, or local law, then that provision shall be deemed severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall be interpreted to the greatest extent possible in order to give effect to the original intent of the parties as reflected herein.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, and each remaining provision shall be enforced to the fullest extent permitted by applicable law. If a prohibited class action waiver is found unenforceable for a particular claim or request for relief, and the parties' agreement to arbitrate is otherwise valid, then the class action or representative aspects of that claim shall be severed and pursued in court, while the remaining individual claims shall proceed in arbitration.


17. Entire Agreement and Waiver

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by us on the Site, shall constitute the entire agreement between you and Dewey's Pizza concerning your use of the Site and our services, and shall supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, between you and Dewey's Pizza with respect to such subject matter.

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any particular provision of these Terms shall only be effective if made in writing and signed by an authorized representative of Dewey's Pizza. No waiver of any right or provision of these Terms shall be deemed a further or continuing waiver of such right or provision or any other right or provision.


18. Force Majeure

Dewey's Pizza shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, labor disputes, supply chain disruptions, internet or telecommunications outages, power failures, cyberattacks, or other similar events. In such circumstances, our obligations under these Terms shall be suspended for the duration of the force majeure event, and we will use commercially reasonable efforts to resume normal operations as quickly as practicable.


19. Children's Privacy and Accessibility

The Site is not directed to children under the age of thirteen (13). We do not knowingly collect personal information from children under 13.
